By submitting User Content, you grant MAGI Inc. a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the App.

Disclaimers and Limitation of Liability

No Warranties

The App is provided "as is" and "as available," without warranties of any kind, either express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. MAGI Inc. does not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components.

Limitation of Liability

To the maximum extent permitted by applicable law, MAGI Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the App; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

Indemnification

You agree to defend, indemnify, and hold harmless MAGI Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the App or your violation of these Terms of Service.

Governing Law

These Terms of Service and any disputes arising out of or relating to them will be governed by the laws of the jurisdiction in which MAGI Inc. is headquartered, without regard to its conflict of law principles.

Dispute Resolution

Any dispute arising out of or relating to these Terms of Service or the App will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in the jurisdiction where MAGI Inc. is headquartered.

Severability

If any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms of Service constitute the entire agreement between you and MAGI Inc. regarding the App and supersede all prior agreements and understandings, whether written or oral, regarding the App.
